BYLAWS
MEADOW HILLS NEIGHBORHOOD ASSOCIATION
TALLAHASSEE, FLORIDA

I. Name:
The name of the association is the Meadow Hills Neighborhood Association hereinafter called the Association organized for non-profit purposes.

II. Purpose:
The purpose of the Association shall be to protect and preserve the values and integrity of our existing neighborhood and promote neighborhood and community improvements through group cooperation and action for the benefit of the residents and not for profit or for other business or personal purposes.

III. Membership:
Persons residing within the vicinity of the Meadow Hills Subdivision the neighborhood bounded by Davis Drive on the West to Meeks Road on the East or from Vernon Road (including Vernon Court) on the South to Buck Lake Road on the North shall be eligible for membership. Membership shall be established by full and timely payment of annual dues by each lot owner residing within the vicinity of the Meadow Hills Subdivision.

IV. Dues:
Membership dues are due on January 1st of each year and shall be $5.00 per residential lot up through the date of the Association's Annual Meeting. After that date, the annual dues shall increase to $8.00 per residential lot for that calendar year. If paying by check, dues payments should be made payable to the Meadow Hills Neighborhood Association and be mailed to the address of the Treasurer.

V. Officers:
The officers of the Association shall be a President, Vice-President, Secretary and Treasurer. The President and Secretary shall be elected and assume office each even-numbered year by the majority of the members voting. The Vice-President and Treasurer shall be elected and assume office each odd-numbered year by the majority of the members voting. The term of office shall be two years. Officers shall be chosen from the Association members in good standing.

Should it become necessary to fill a position of an elected officer of the Association in the event the officer is unable to complete his/her elected term of office, the Board of Directors shall appoint a replacement to serve until the next meeting of the membership where the appointee can be confirmed by vote or another member in good standing is nominated and elected from the floor. The new officer will serve the term remaining of the original two-year term.

The Association Board of Directors shall be required to have a two-thirds majority to approve spending requests up the total available funds in the Associations bank account on behalf of the Association. The Association President shall have the authority to approve spending requests up to $50.00 for projects as needed for the Associations business.

VI. Committees:
The membership may establish committees at any Association meeting. The President may also establish committees. The President shall appoint committee chairpersons from Association members in good standing. Chairpersons will serve for an undesignated term but must be reconfirmed by the acting President each January 1st. Standing committees of the Association will be the Audit, Bylaws, Crime Watch and Nominating Committees.

VII. Board of Directors:
The Officers and the Standing Committee Chairpersons shall constitute the Board of Directors and shall act in the best interests of the membership between meetings of the Association.

VIII. Meetings:
An annual meeting of the Association will be held during the first quarter of each calendar year. Other general membership meetings may be scheduled on an as needed basis throughout the year. Meeting notice will be given either by posting notice within the neighborhood, by periodic newsletters/flyers, e-mail, in person, or by telephone. Each member is responsible for keeping the President informed of his/her current telephone number and mailing address.

Meetings of the Board of Directors will be scheduled periodically to review issues affecting the neighborhood and to review the activities of each committee.

IX. Quorum:
Association members in good standing owning at least ten percent (10%) of the neighborhood lots must be present to conduct official business at any meeting of the membership. Decisions at these meetings will be decided by a simple majority of the lot votes of those members present except for those affecting the Bylaws.

At least fifty percent plus one (50% + 1) of the Board members must be present to conduct official business at any meeting of the Board of Directors. Decisions at these meetings will be decided by a simple majority of the Board members present.

X. Voting:
Only Association members in good standing may vote at an Association meeting. Each lot for which dues are paid for shall be represented by a single vote of one of its resident owners. Other family members and non-member lot owners both residing and not residing within the vicinity of Meadow Hills may attend meetings but not vote.

XI. Amendments:
The Bylaws of the Association may be amended at any scheduled Association membership meeting for which a quorum is present provided proper and sufficient notice of the amendment is given at least seven days prior to the meeting. Two-thirds (2/3) of the lot votes represented by those members in good standing in attendance must approve the amendment.
